1. Service Provider

Consulting services are provided by ATMOS, specialized in agile transformation and management.

2. Client

A "Client" is any individual or legal entity that has subscribed to ATMOS consulting services.

3. Services

ATMOS offers consulting services in agile transformation and management, including:

  • Agile transformation support
  • Team and leadership coaching
  • Strategic vision workshops
  • Organizational diagnostics
  • Implementation of agile methods
  • Training and skills development

4. Responsibility and Obligations

4.1 Nature of obligation

ATMOS commits to a strict obligation of means. No results are guaranteed. The success of agile transformation depends on multiple factors, including but not limited to client commitment, organizational culture, and available resources.

4.2 Limitation of liability

ATMOS's liability is strictly limited to the total amount paid by the client during the 12 months preceding the claim. ATMOS shall not be held liable for indirect damages, loss of profits, or intangible losses under any circumstances.

5. Payment Terms

5.1 Advance payment

All services are paid in advance and are non-refundable, unless otherwise expressly agreed in writing.

5.2 Unpaid invoices

Any invoice unpaid at maturity will, without prior notice, incur a late payment interest of 10% per annum, calculated on the total amount due.

6. Intellectual Property

6.1 ATMOS ownership

ATMOS retains full intellectual property rights over:

  • ATMOS trademarks
  • Designs and models
  • Developed software and tools
  • Methodologies and frameworks
  • All creations and innovations developed

6.2 Client documents

Documents, reports, and deliverables produced exclusively for the client as part of the engagement remain the property of the client.

8. Dispute Resolution

8.1 Amicable solution

In case of disagreement or dispute, the parties commit to seeking an amicable solution before any legal action. Mediation may be undertaken if necessary.

8.2 Competent jurisdiction

In case of failure to reach an amicable resolution, any dispute relating to the interpretation or execution of these terms shall be submitted to the exclusive jurisdiction of the courts of Nivelles, Belgium.

8.3 Applicable law

These terms are governed by Belgian law.

9. Modification of Terms

ATMOS reserves the right to modify these terms at any time. Modifications will take effect upon publication. It is recommended to regularly consult this page.
